Agreement
By creating an account, using the ActiveCred website at activecred.it, or subscribing to the ActiveCred service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Cookie Policy, and our Disclaimer. If you do not agree with any of the above, do not use the Service.
The Service is operated by an individual doing business as ActiveCred ("ActiveCred," "we," "us," or "our") under an assumed-name (DBA) filing in the State of Texas, United States. ActiveCred is a sole proprietorship. The operator is a single natural person. References in these Terms to "our company," "our team," "our staff," or similar plural forms are stylistic and do not create any inference of corporate form, co-ownership, partnership, joint venture, employer-employee relationship, or agency relationship between you and anyone other than the sole proprietor.
The Service
ActiveCred is a subscription software utility that runs small, user-authorized recurring charges on credit cards you link, on a schedule you configure (daily, weekly, monthly, or custom intervals, at a time of day of your choosing in your local timezone), for the purpose of producing an activity signal that card issuers may consider when evaluating dormancy. The Service includes a dashboard ("Pulse") that surfaces your configured schedules and past charge history, optional step-up authentication (passkey, TOTP, or one-time email code) for payment-impacting changes, and the ability to pause, resume, or remove any linked card at any time.
The Service does not: offer financial, credit, tax, or investment advice; sell or underwrite insurance; provide credit repair; counsel on debt; issue credit; furnish credit reports; or guarantee any outcome. See the Disclaimer for full scope.
Your Account
- You must be at least 18 years old and a legal cardholder for every card you link.
- You are responsible for maintaining the security of your account credentials.
- You must provide accurate, current information and update it if it changes.
- One account per person. Do not share your account or link cards you do not own.
US-Only Service
ActiveCred is available to residents of the United States only. We only accept US-issued credit cards. Attempts to use the Service with non-US payment instruments will be declined.
Authorization for Card Charges
By linking a credit card to ActiveCred, you explicitly authorize us to charge a configurable amount (minimum $0.50, up to $10.00 per charge) to that card on a schedule you select for the purpose of maintaining account activity with your card issuer. These charges occur off-session, meaning they are processed automatically without requiring you to be actively logged in.
Activating a newly-linked card, and modifying the charge amount or schedule on an existing card, requires step-up identity verification via one of the methods you have enrolled (passkey, TOTP authenticator app, or a one-time code emailed to your address on file). This step-up confirms that you — and not a third party with transient access to your session — authorized the change. Each successful authorization and re-authorization is logged with a timestamp, IP address, user agent, session identifier, and the consent text you agreed to. These records are retained for chargeback defense and regulatory compliance as described in our Privacy Policy.
You may pause or resume charges on any linked card at any time from the Pulse dashboard; no step-up is required to pause or resume because these actions strictly halt or restart processing without changing the underlying authorization. You may revoke the authorization entirely by removing the card. Upon removal, the Stripe payment method is detached and no further charges will be made to that card.
Dispute Resolution
If you believe a charge was made in error, please contact support@activecred.it before initiating a dispute with your card issuer. We will review and resolve legitimate concerns promptly.
Subscription and Billing
- Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select.
- Your subscription renews automatically at the then-current rate until you cancel.
- You may cancel at any time from the Settings page.
- Each activity charge on a linked card (minimum $0.50) is a separate transaction from your subscription fee. Activity charges are non-refundable except where required by law.
- We reserve the right to change pricing with at least 30 days' advance notice. Price changes will not affect the current paid billing period.
- Declined or failed charges (subscription or activity) may result in automatic retries or suspension of the Service in accordance with standard processor behavior.
One-Hour Money-Back Guarantee
If you cancel your subscription within one (1) hour of the initial subscription charge posting, your subscription will be cancelled immediately and the initial subscription fee will be refunded in full to your original payment method. This window is strictly one hour from the timestamp of the first subscription charge. Refund requests submitted after the one-hour window are denied.
If you cancel outside the one-hour window, your subscription will remain active until the end of the current billing period, after which it will not renew. Fees for the current billing period are non-refundable, except as required by applicable law. Individual activity charges already posted to a linked card are not part of the subscription fee and are not included in the money-back guarantee.
What ActiveCred Is Not
- ActiveCred is not a financial advisor, broker-dealer, registered investment adviser, credit counselor, credit repair organization, debt-management firm, lender, card issuer, or credit bureau.
- ActiveCred is not insurance, credit protection, or any form of indemnification product.
- We do not provide investment, credit, tax, or financial advice of any kind.
- We do not guarantee any specific credit score outcome, account-open status, approval on any credit application, or any other financial result.
- Credit scoring depends on many factors beyond account activity. Card issuers may close or restrict accounts for reasons unrelated to inactivity, including their own business policies and regulatory requirements.

No Warranty
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or title. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of implied warranties; to the extent such exclusions are not enforceable, the warranties provided herein are limited to the minimum extent permitted by law.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ACTIVECRED, ITS OPERATOR, OR ANY OF ITS LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, CREDIT-SCORE CHANGES, ACCOUNT CLOSURES BY CARD ISSUERS, DECLINED OR FAILED CHARGES, OR ADVERSE DECISIONS BY THIRD PARTIES (INCLUDING LENDERS, LANDLORDS, INSURERS, AND EMPLOYERS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (a) ONE HUNDRED U.S. DOLLARS ($100) OR (b) THE TOTAL SUBSCRIPTION FEES YOU PAID TO ACTIVECRED IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The exclusions and limits in this section apply regardless of the legal theory on which any claim is based, and are a material part of the bargain between you and ActiveCred. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the minimum extent permitted by law.
Time Limit for Claims
ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS MUST BE BROUGHT BY YOU WITHIN ONE (1) YEAR AFTER THE EVENT GIVING RISE TO THE CLAIM, OR IT WILL BE PERMANENTLY BARRED. This shorter limitations period applies to the maximum extent permitted by applicable law and is a material term of these Terms.
Force Majeure
Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including without limitation: acts of God; natural disasters; pandemic; war, terrorism, or civil unrest; cyberattack, denial-of-service event, or other malicious intrusion; governmental action, embargo, or sanction; failure or degradation of third-party services on which the Service depends (including Stripe, Cloudflare, card issuers, credit bureaus, email providers, and internet service providers); power outage; or labor disruption. Affected party will use reasonable efforts to mitigate and to resume performance as soon as practicable.
Indemnification
You agree to indemnify, defend, and hold harmless ActiveCred and its operator from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; (d) your violation of any applicable law or regulation; (e) your linking of any card you do not own or are not authorized to charge; or (f) any charge you authorized through the Service, including disputes with the issuer of any linked card.
Assumption of Risk
You acknowledge that using the Service carries inherent risks, including the possibility that a card issuer may close, restrict, or reduce the credit limit on a linked account regardless of the activity signal the Service produces. You voluntarily assume these risks by using the Service. You acknowledge that you have read and understood our Disclaimer.
Termination
We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or link cards you do not own. Upon termination, all linked card tokens are detached from Stripe and no further charges will be made.
You may delete your account at any time from the Settings page. Account deletion removes your personal data, cancels your subscription, and detaches all linked card tokens. Transaction records and authorization consent logs may be retained as required by law and for dispute resolution purposes, as described in our Privacy Policy.
Data Retention
We retain transaction records, authorization consent logs, and security event logs indefinitely unless you request deletion, as these records are necessary for regulatory compliance, chargeback defense, and fraud prevention. You may request data deletion by deleting your account or contacting support. See our Privacy Policy for full retention details.
Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or an in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Binding Arbitration and Class-Action Waiver
Please read this section carefully. It affects your legal rights.
Except for disputes in which either party seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property, you and ActiveCred agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved exclusively through final and binding arbitration, rather than in court, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.
The arbitration will be conducted in the English language in Texas, or by telephone or video conference where available. The arbitrator's award will be final and may be entered as a judgment in any court of competent jurisdiction.
Class-action waiver. You and ActiveCred agree that each may bring Disputes against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
30-day right to opt out. You may opt out of this arbitration agreement by emailing legal@activecred.it within 30 days after first creating an account, with the subject line "Arbitration Opt-Out" and including your full name and the email associated with your account. If you opt out, neither you nor ActiveCred will be bound by the arbitration and class-waiver provisions of this section; all other provisions of these Terms remain in effect.
If any portion of this section is found unenforceable, the unenforceable portion will be severed and the remainder enforced to the fullest extent permitted by law.
General Provisions
Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and ActiveCred regarding the Service and supersede any prior or contemporaneous agreements, understandings, communications, or proposals, whether oral or written.
Assignment. You may not assign, delegate, or otherwise transfer any of your rights or obligations under these Terms without our prior written consent; any attempted assignment in violation of this provision is void. ActiveCred may freely assign these Terms and all rights and obligations hereunder, in whole or in part, to any successor, acquirer of its assets, or affiliated entity, without notice or consent.
Severability. If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible and severed only to the extent necessary; all remaining provisions will continue in full force and effect.
No waiver. Our failure or delay in enforcing any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by ActiveCred to be effective, and will apply only to the specific instance identified.
Survival. The provisions of these Terms that by their nature should survive termination — including Authorization for Card Charges (as to charges already posted), What ActiveCred Is Not, No Warranty, Limitation of Liability, Indemnification, Assumption of Risk, Time Limit for Claims, Force Majeure, Governing Law, Binding Arbitration and Class-Action Waiver, and this General Provisions section — will survive any termination or expiration of these Terms or your account.
No third-party beneficiaries. These Terms are solely between you and ActiveCred. No third party (including any family member, joint account holder, or card issuer) has any right to enforce any provision of these Terms.
Relationship of the parties. You and ActiveCred are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and the operator or any third party.
Notices. We may provide notices to you by email, by posting in the Service, or by posting on activecred.it. You will provide notices to us by email to legal@activecred.it. Notice is effective when sent.
Headings. Section headings are for convenience only and do not affect interpretation.
